After Benedetta Rossi, Adelphi too: Mondadori acquires purchase and sale options on 10% of the historic Milanese publishing house



Mondadori Books has signed with Josephine Calasso – holder of a total shareholding of 23.88% – reciprocal call and put options relating to a share equal to 10% of the share capital of Adelphi Editions. The Mondadori group reported this in a note. The options will be exercisable starting from May 2027 at an exercise price that reflects an equity value for 100% of Adelphi of 50 million euros.

Josephine Calasso also commented on the agreement with the Milanese publishing house: “I chose the Mondadori Group because I care about Adelphi’s future, because it has proven to be a straightforward and transparent interlocutor”.

“I believe that his closeness can give a valuable contribution to the evolution and growth of our publishing housethanks to its expertise, its proven management capacity, its size and, above all, for the open ways of interaction and valorization that it has historically demonstrated towards publishing houses”, he added. And he concluded: “I hope that this decision will be appreciated by the other members, also from a perspective of rebalancing the social structureand I am sure it will help to realise my wish for an Adelphi led by the heirs of Roberto Calassowhich projects itself into a bright future worthy of its history visible in the extraordinary catalogue, my father’s legacy“.

Anthony PorroCEO of the Mondadori group, explained that the agreement “stems from the recognition and appreciation by the Mondadori Group for the extraordinary uniqueness and value of Adelphia true cultural asset of the country”. 2It is therefore an honour for us – he continued – that we have been offered the opportunity to be part of its shareholding in the future: we do so with the aim of supporting, together with all the other members, its natural evolution with a view to further value creation. All this by leveraging the fully shared vision, which is found in‘catalog identityin the‘autonomy and in theindependence of editorial choices the essential pillars of the development of a large and historic publishing house, in total coherence with our philosophy according to which each individual publishing reality is encouraged to preserve its own identity and its own distinctive and peculiar characteristics”. “We intend – concluded the CEO of Mondadori – to make a contribution and share in due time an inclusive path with all those who wish to collaborate on the project of further enhancement of one of the most prestigious publishing houses in the country”.

Mondadori has just returned from a further important acquisition. In July, in fact, the group acquired – for the modest sum of 7 million euros – 51% of Waimeathe company that manages the intellectual property and image rights of the food blogger Blessed Rossi.
